AIHelps (hereinafter – “AIHelps”) is an online platform providing access to software products and services devoted to support small business management in the beauty and health industries (e.g. dentistry, fitness clubs, beauty salons), located at https://aihelps.com/ (hereinafter – “Website”).
For the further access to and browsing of Website, please, carefully read and accept the following terms and conditions.

TERMS AND CONDITIONS

1. Scope

1.1. These Terms and Conditions shall apply to the use of AIHelps Website and access to the Software and other material it contains is subject to the present legal Terms and Conditions (hereinafter – “Terms”) as well as to applicable laws.

1.2. The term “Software” includes those software devoted to support small business management mainly through databases administration, written AIHelps, including, but not limited to, Website support software, AIHelps documentation, and/or all other files included in the AIHelps total software package as well as certain features that allow You to access the Software stored on Your computer or AIHelps Server (hereinafter – “Server”)from a remote location through the Internet via the use of personal computer device or mobile device application.

1.3. These Terms apply to the use of entire Website and all portions of the Website contained therein (excluding links to other Websites). The Terms shall apply to any future portions of the Website (excluding links to other websites) unless otherwise stated herein.

2. Changes

2.1. AIHelps reserves the right to change these Terms from time to time and at any time.

2.2. Please check the Terms periodically for changes. Your continued use of the Website, following the posting of any changes to these Terms, constitutes acceptance of those changes.

2.3. Any updated version of the Terms, posted on the Website shall be legally binding at the moment of use of the Website. You agree that updating the Terms on the Website without separate notice to You is sufficient and therefore AIHelps is not obliged to notify You directly of any changes of the Terms.

3. Software and Website use

3.1. AIHelps Software can be downloaded to Your computer (the client installing), or You can register online and use remote access. In case of client installing onto your computer, database, used within AIHelps Software, will be kept on your server or hardware, and in case You perform remote access – it will be kept on the Server. AIHelps fulfils its obligations as provided for in p.4.1. hereof only with respect to those databases kept on the Server. Depending on the way, the database is kept, the different amount of the rights is provided. More details will be determined in the License Agreement, which You will get acquainted to and will be required to accept to gain access to the Software. Despite the way You keep database, there is a personal account, access to which You obtain solely. The access shall be provided by using Your registration data first inserted after the first Software download.

3.2. The first 14 days of the use of Software is for the testing purpose and for free. The subsequent use of Software shall be paid. Databases from the test version may be transferred only after the payment made. The test period may be repeated, but the database cannot be transferred from one test period to another.

3.3. After every paid period a credit period, lasting for five days, is provided. The payment for the credit period shall be included into the payment for the next period.

3.4. You expressly understand and agree that Your use of the Website and the Software is at Your sole risk and that the Website and Server with access thereto are provided “as is” and “as available”.

3.5. AIHelps and its subsidiaries and affiliates, licensors hereunder make no express warranties and disclaim all implied warranties regarding the Website and Software, including implied warranties of merchantability, fitness for a particular purpose and non-infringement unless it is strictly stipulated herein or in other document (public offer, policy, terms etc.) on the Website. Without limiting the generality of the foregoing, AIHelps and its subsidiaries and affiliates, licensees do not represent or warrant to You that:
(a) Your use of Website and Software will meet Your requirements, and
(b) Your use of the Website and Software will be uninterrupted, timely, secure or free from error, and
(c) usage data provided through the Website and Software will be accurate.
All external referrals from the Website shall be made at Your discretion and risk and You are the only responsible for security of such overpass and legitimacy of use of the addressed web-page or content thereon.

3.6. While working with AIHelps Website or Software You cannot use spyware, malware, etc. software.

3.7. You may familiarize with any data of the Website You get free access to. Those data is granted for informative purposes only.

3.8. You are fully responsible for all information You provide to us and guarantee you have sufficient permission to use the personal data You enter or use in any manner using Website or Software and for any claim by a third party referring directly to the data You have provided or inserted into the Software.

3.9. You are the only responsible for security of any overpass and legitimacy of use of the addressed web-page or content thereon.

3.10. AIHelps reserves the right of automatic monitoring of the use of Software and all the corresponding measures. These measures shall include deleting your account within the Software if it is not used for more than three consecutive months.

4. Company’s Responsibility

4.1. AIHelps provides continuous database work, data backup, protection of the database from viruses and problems with computer equipment at which the database operates as well as the absence of unauthorized access. While keeping databases, used while operating Software, on the Customer’s server space or hardware, AIHelps provides technical support of those databases, as far as technically possible, but does not assure proper functionality, data backup and other issues assured for the databases kept on the Server.

4.2. Website is working around the clock and without considerable interruptions provided however that for 2 days during each calendar month the access can be closed due to the maintenance services.

4.3. AIHelps makes all reasonable efforts to prevent unauthorized tampering with the Website, but AIHelps does not guarantee that its efforts will always be successful.
Therefore, AIHelps does not warranty that the Website materials will be error-free, and disclaims any liability for such errors. Thereto, AIHelps does not guarantee access to the Website and the Server, if You have the wrong equipment, inadequate access to the Internet or the access to the Website address is denied in Your territory irrespective to the reasons therefor.

4.4. The information, You enter during the registration online and using the AIHelps Website or Server, including the registration data, will be used to identify You and communicate with You, including sending messages of any lawful nature and content, which You can reject at any time.

4.5. AIHelps takes reasonable care and skill to provide information which is accurate and up to date when first included on the Website, typographical and other errors may nevertheless occur. Therefore, AIHelps does not warranty that the Website materials will be error-free, and disclaims any liability for such errors.

4.6. However, in the case You have noticed any error, please, notify the AIHelps for it to try to take it into consideration as well as any of your recommendations or remarks. Although AIHelps does not undertake to update or correct any information or characteristics of Website or Software, AIHelps reserves the right to modify, delete and rearrange any or all of the contents and measures of the Website or Software at any time without any notice to You.

5. User’s Responsibility

5.1. You are responsible for maintaining the confidentiality of Your authorization details / registration data, including but not limited to usernames and passwords. Furthermore, You ensure that Your usage of the registration data comply with the Terms explicitly set and You do not use the registration data, You are not allowed to. You acknowledge that the Server and the Software keep a lot of confidential information. Therefore, in the case of unauthorized access to other people’s or company’s databases, You accidentally got, You shall report it to AIHelps immediately and stop the access without any interfering with such bases.

5.2. You are fully responsible for all the activities that occur under Your password or user name. You agree to immediately notify AIHelps of any unauthorized use of Your password or user name or any other breach of security.

5.3. You may not use the Website in any manner that could damage, disable, overburden, or impair the Server, or the network(s) connected to it, or interfere with any other party’s use and enjoyment of the Website.

5.4. You acknowledge and agree that AIHelps is not liable for any loss or damage which may be incurred by You as a result of any Your or their use of the Website, the Software.

5.5. Тhе AIHelps live chat (hereunder – “Chat”) has been developed on the Website. Please use the Chat for amiable discussions, explanations, and support questions only.
Insulting or disrespecting other people, or groups of people, intentionally or not, is prohibited. Messages that clearly advertise or disturb the Chat flow are not allowed. If you do engage in such offensive behaviour or there is a complaint, AIHelps has the right to deny Your access to the Chat.

6. Confidentiality

6.1. AIHelps takes commercially reasonable precautions to keep all information obtained from our online visitors secure against unauthorized access and use. Besides, AIHelps periodically reviews the security measures. Although there is no way that any Website can absolutely guarantee the security of Your information.

6.3. You consent to automatic collecting of information related to Your location. All other information, kept and used by AIHelps, is provided by You or may be gathered in the public domain.

6.4. Please, pay attention, that is case You agree to use Software, AIHelps, with no additional approve from Your side, shall be granted the right to place Your trademark / logo / brandname / business name, website of Your organization and state of its residence on the Website or in the Software in order to directly indicate that You use or have been using the Software.

7. Proprietary Rights: Copyrights; Trademarks

7.2. Using AIHelps products and services does not give You ownership of any AIHelps intellectual property, including all trademarks, service marks, trade names, logos, brandings and other designations.

7.3. The aforementioned intellectual property is the sole property of AIHelps or third parties that have granted AIHelps the right and license to use such intellectual property.

7.4. Nothing contained on the Website should be construed as granting any license or right, except for those, You obtain using features of the Website, registering on it and getting access to the Software, to use aforementioned intellectual property without the written permission of AIHelps or such third party that may own the intellectual property displayed.

8. Termination

8.1. AIHelps shall have the right to terminate the force of these Terms unilaterally and immediately and deny Your access to and use of the Website if AIHelps determines, in its sole discretion, that You have breached any obligation under these Terms or the current legislation.

8.2. In addition, AIHelps reserves the right to suspend access to the Website at its sole discretion at any time.

8.3. AIHelps shall have the right to require You to refrain from any actions or to stop any activity, which can be construed as unlawful or prohibited by these Terms and Conditions or applicable legislation in force.
